Terms of service

1. Agreement to these terms

These Terms of Service (“Terms”) govern access to and use of Skillermatic, a learning, compliance, and skills-training platform operated by AkolagTech (“AkolagTech”, “we”, “us”, “our”). By creating an account, or by a company admin setting up a company workspace, you agree to these Terms on behalf of yourself and, if applicable, the company or organization you represent.

2. Accounts

  • You need an account to use Skillermatic. You are responsible for keeping your login credentials confidential and for all activity under your account.
  • A company account is set up by a “company admin,” who is responsible for the company’s workspace, including inviting and managing staff (“users”), assigning training, and configuring settings such as phishing-simulation opt-out and reminder timing.
  • An individual account is set up by one person learning on their own, with no company involved.

3. Company admin responsibilities

If you set up or administer a company account:

  • You confirm that you have the authority to act on behalf of your company and to upload your staff’s personal data (name, work email, department, role, and training records) into Skillermatic for the purpose of training and compliance tracking.
  • You are responsible for having a lawful basis for uploading that staff data - for example, because it is necessary to run mandatory workplace training, or because you have told your staff about the training program as part of your own internal privacy notice - under the law that applies to your company, including the GDPR/UK GDPR and/or the Nigeria Data Protection Act 2023, as applicable.
  • Your company is the data controller for the personal data of the staff you add, and AkolagTech is the data processor acting on your instructions, under the Data Processing Agreement, which you accept during company onboarding.
  • You are responsible for the accuracy of the data you upload and for removing a person from your workspace promptly when they leave your organization.

4. Acceptable use

You agree not to:

  • Use Skillermatic for anything unlawful, or upload content you do not have the right to upload.
  • Attempt to access another company’s workspace or another user’s data, or probe, scan, or test the security of Skillermatic without our written permission.
  • Interfere with the normal operation of the service, including through excessive automated requests.
  • Use the phishing-simulation feature against anyone other than your own company’s own staff, whom you are authorized to test, and only for genuine security-awareness purposes - never against a third party, a competitor, or anyone outside your own organization, and never to collect real credentials. The feature is built so that it never asks for or stores a password; using it to try to do so is a breach of these Terms.
  • Reverse-engineer, resell, or white-label the platform without our written agreement.

5. Content and intellectual property

  • Skillermatic’s course content, software, design, and branding are owned by AkolagTech or its licensors. We grant you a limited, non-exclusive, non-transferable license to use them as part of the service, for as long as your account is active.
  • Customer content. Any data, documents, or lists you or your company upload - for example, a staff roster, or a course your company builds using our course-builder tool - remains your property. We only use it to provide the service to you, as described in our Privacy Notice and Data Processing Agreement.
  • Certificates issued to a learner belong to that learner, and the fact of their issuance is also a record your company may keep for its own compliance purposes.

6. Subscriptions, trials, and billing

  • Company accounts start on a free trial. Pricing for a paid subscription, including seats, plan tier, and billing period, is as set out in your order, invoice, or the pricing shown to you at the time you subscribe - this document does not itself set a price.
  • Individual accounts may use a free plan, or a paid plan if and when offered, again as set out at the time of signup.
  • Payments, when billing is enabled, are processed by our payment partners Paystack and/or Stripe. We do not store your full card number.
  • Fees are generally non-refundable except where required by law or expressly stated otherwise in your order.

7. Suspension and termination

  • We may suspend or terminate an account that breaches these Terms, that we reasonably believe poses a security risk, or where payment is overdue beyond the grace period stated in your order.
  • You may close your account at any time; a company admin can close the company’s account, which closes access for all of that company’s users.
  • On closure, personal data is deleted within 30 days except where we are required to keep records for legal or billing reasons, as described in our Privacy Notice and Data Processing Agreement.

8. Disclaimers

Skillermatic is provided “as is” and “as available.” While we build and operate the platform to a high standard of care (see our Privacy Notice, “Security”), we do not guarantee that the service will be uninterrupted or error-free, or that completing a course or simulation guarantees any particular compliance, security, or business outcome. Training content is provided for educational and awareness purposes and is not legal advice.

9. Limitation of liability

To the maximum extent permitted by law, AkolagTech will not be liable for any indirect, incidental, special, or consequential damages arising from your use of Skillermatic. Our total liability for any claim arising out of or relating to these Terms or the service is limited to the amount you or your company paid us in the 12 months before the claim arose, except where a limitation of liability is not permitted by law - including, where applicable, liability relating to a data protection breach that is our fault under the NDPA or GDPR/UK GDPR.

10. Governing law

These Terms are governed by the laws of the State of New Jersey, USA, without regard to its conflict-of-laws principles, except that nothing in these Terms limits any right or protection you have that cannot be waived under the law that otherwise applies to you - including your rights under the Nigeria Data Protection Act 2023 and the GDPR/UK GDPR, which continue to apply in full where those laws govern the relevant processing of your personal data, regardless of this governing-law clause.

11. Changes to these terms

We may update these Terms from time to time. If we make a material change, we will update the “Last updated” date on this page and, where appropriate, notify company administrators. Continuing to use Skillermatic after a change takes effect means you accept the updated Terms.
